Terms of Service

Introduction

All references to "you" or "your" or "User" shall mean the individual or entity accessing, using, or participating in the Khel platform in any manner whatsoever. If you use the Khel on behalf of any entity, you represent and warrant that you have the authority to bind such entity to these Terms of Use, and your acceptance shall be deemed acceptance on behalf of such entity. It is hereby clarified that the term User shall deem to include all users of the Website, including without limitation users who are browsing, individuals or the family members of the individuals who obtain and/or intend to obtain our services, venue owners, and/or are in any manner connected with and/or contribute to the use of the Website and/or App and/or the Services provided through it.

These Terms of Use ("Terms") govern your use of the Khel mobile application and any associated services, or the platform (collectively, the "Khel" or "Khel Platform"), owned and operated by the company. By downloading, installing, accessing, or using the Platform in any manner, you agree to be legally bound by these Terms and all policies incorporated herein by reference, including the Privacy Policy. Please read these Terms of Use carefully before using, registering, or accessing any information or Services through the Website and/or App. If you do not agree to the foregoing, you should not click to affirm your acceptance thereof, in which case you are prohibited from accessing or using the Khel Platform. If you do not agree to any of the provisions outlined in the Terms of Use, kindly discontinue accessing or participating in the Services offered by Khel immediately.

Amendment

These terms of use and any other document incorporated by reference are subject to modification at any time. Khel reserves the right, at its sole discretion, to change, modify, add/or remove portions of these terms at any time without any prior written notice to You. You shall be responsible for regularly reviewing the Terms at all times, for any changes or amendments to the Terms, and the other Company Policies. You will be informed of any changes or amendments made to the Terms and the Company policies. You will be required to provide your consent for the proposed changes in the Terms or the Company policies. Failure to do so will result in termination of the existing registration. Any new features or tools that are added to the Website and/or App shall also be subject to the Terms of Use.

Use of Platform Services

Membership Eligibility

You do not need to register with the Company to simply visit and view the Khel platform. You will be required to register with the company to access the Khel Platform Services. Khel Platform Services are available only to persons competent to form a legally binding contract under Sections 32 and 33 of the Muluki Civil Code 2074 or to anyone previously suspended or removed by the Khel from availing the Khel services or participating in the Khel platform services. Persons who are incompetent to contract within the meaning of the Muluki Civil Code 2074 including minors, people with unsound mind, etc., are not eligible to use the Website and/or App.

You will be required to submit your name, mobile number, and/or email address through the account registration page/screen on the Khel Platform and create a password, which is then authenticated by the OTP verification and secure backend authentication. You may also register for an account using your existing email account.

You represent, acknowledge, and agree that you are at least 18 years of age, and that: (a) all registration information that you submit is truthful and accurate, (b) you will maintain the accuracy of such information, and (c) your use of the Khel Platform and Services offered by the Khel Platform do not violate any applicable law or regulation. Your Account may be terminated without warning if we, in our discretion, believe that you are in any way under the age of 18 or that you are not complying with any applicable laws, rules, or regulations. Further, if you are not of the authorized age and you access the Khel Platform, please be aware that it shall be assumed that your usage was authorized by such person, who is your parent or guardian, and that such person has supervised your usage.

Use of the Services

The Khel platform is an online hybrid intermediary platform that supports and facilitates the discovery, view availability, and booking of sports venues and enables the aggregation of users into shared sports sessions, and is involved in the coordinated scheduling of such events. Khel does not act as an event organizer, but enables the games and sports events listing and facilitates player matching. Khel primarily connects users with the venue owners, and such venue owners may host games or events independently. Khel does not own, operate, manage, or control any sports venue and does not organize, conduct, supervise, or host any sports activity, event, or game. However, Khel may enable game listing and facilitate player matching in shared sport sessions and coordinated scheduling.

Khel merely provides a platform for Users and venue owners to connect and coordinate bookings. All services are provided directly by venue owners or other Users ("Service Providers"), and Khel shall not be deemed a party to any transaction, arrangement, or interaction between Users and venue owners.

To use the services, the registered venue owners or users may list their venues and details of the sports event calling for the participants or other Users. Users would be required to select the sports, venue, day, time, area, and such other information as may be required on our website and/or app. Users may discover venues, book the sports facilities listed by the venue owners or other users, and make payments. The venue owners or the vendors may register their venue, set an availability schedule for their venue, define their pricing and other requirements, and accept or manage bookings made by the user. The user may also be able to book an entire venue and list the sporting event for reservation by other users or register for the individual slots for the scheduled sporting events, according to the availability of the venue. The user may join the scheduled games without booking the full venue. The sports event or games may be created by the platform administrators, venue owners, or vendors, and/or be initiated through the user demand based on requests. The user will be required to pay the fees for such services through a gateway or the options, as per the fee structure enlisted in the website and/or app. On receipt of payments, we shall immediately provide you with a system-generated confirmation of the booking.

In the event you are a venue owner or any kind of service provider associated with Khel, you shall be expected to confirm such bookings and/or registrations as per the terms of our engagement with you. If you accept any bookings and/or registrations, you shall not be allowed to cancel and/or reschedule the same, unless permitted in Your terms of engagement or approved in advance in writing by Us. You may, before accepting such bookings and/or registrations, put the same under review, and we shall contact you to identify the reasons for non-acceptance. You hereby agree that you will give preference to all booking requests received through Khel's Website and/or App.

Further, it is understood that Khel is only a platform to register and/or book for Services and is in no way responsible for any execution and/or performance and/or non-performance of services by any Service Provider associated herewith. Khel and company does not guarantee minimum participation, game completion, and/or skill level or compatibility of players.

General Terms of Use

Bookings may be cancelled, modified, or rescheduled based on Platform policies or venue owner terms. In the case of shared games, bookings may be cancelled where sufficient participants are not available. Refunds, if applicable, shall be governed by Platform policies and may be conditional. Khel does not guarantee refunds in all cases and reserves the right to determine refund eligibility.

If you choose to use the Khel, it shall be your responsibility to treat your User identification code, password, and any other piece of information that we may provide, as part of our security procedures, as confidential and not disclose the same to any person or entity other than us. We shall, at times and at our sole discretion, reserve the right to disable any User identification code or password if you have failed to comply with any of the provisions of these Terms of Use.

The price of the services will be customized depending on the services rendered. The prices of services will be listed in Nepali currency and will be inclusive of tax. The registered user may book and/or register for a service with any service provider only on advance payment unless explicitly mentioned by the Service provider. The payment shall only be made through the payment gateways of modes available on the website or app.

You shall at all times be responsible for the use of the Services through your computer or mobile device and for bringing these Terms and Company policies to the attention of all such persons accessing the Khel on your computer or mobile device. You shall be fully responsible for all activities that occur through Your Account. You shall:

• register in Your own name only, and all Account Information provided by You will be accurate and up-to-date;
• not pass yourself off as someone else or create multiple and/or false Accounts;
• promptly update any of Your Account Information in case of any change in the same, and also update any new Account Information as required by Khel to do so;
• not transfer your membership/registration to another person;
• immediately notify Khel of any unauthorized use of Your Account or any breach of security;
• inform Khel immediately if You have reason to believe that Your password is known to someone else or if Your Account is being, or is likely to be, used in an unauthorized manner;

You may be held liable for any loss incurred by Khel or any other third party due to any authorized or unauthorized use of Your Account, and You shall be responsible to indemnify Khel for the same.

You acknowledge and agree that the Company facilitates the coordinating and booking of sports events and venues listed by Service providers, and venue owners, and the Company does not:

• Make any warranties, whether express or implied, regarding the quality of the sport venues and events offered by the Service Providers
• Endorse or confirm that certain products, services, or events offered by the service provider conform to a certain quality as has been rated by reviews;
• Assume any liability if the products, services, events, or arenas provided by the Service Provider do not meet the expectations of the User, or if the User suffers any loss or damage, including any bodily injury, as a consequence of using such products, services, events, or arenas
• Assume any liability in the event of any change, alteration, amendment, or replacement to the services, or event structure, offered by the Service Provider.
• Guarantee the minimum participation, completion of the event or game, or the skill level or compatibility of the players

The Khel platform is not equipped or authorized to conclude any financial transaction. All payments shall be made through the payment gateway. By providing a credit card or other payment gateway that we accept, you agree to provide correct and accurate credit/debit card details, and you represent and warrant that you are authorized to use the designated payment gateways. If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your service request may be suspended or cancelled. The information provided by you will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation, or court order. You will be solely responsible for the security and confidentiality of your banking and payment card details. We expressly disclaim all liabilities that may arise as a consequence of any unauthorized use of your banking or payment information.

We do not endorse any Service Provider. In addition, although these Terms of Use require you to provide accurate information, we do not attempt to confirm, and do not confirm if it is purported identity.

You agree not to attempt to impose liability on, or seek any legal remedy from us with respect to any actions or omissions of the Service Provider.

Terms of Usage

You agree, undertake, and confirm that your use of the Khel platform shall be strictly governed by the following binding principles:

• You shall not conduct any systematic or automated data collection activities (including scraping, data mining, data extraction, data harvesting, 'framing', article 'spinning') on or in relation to the Khel Platform without express written consent from the Company
• You shall not reverse look-up, trace or seek to trace any information on any other User, of or visitor to, the Website and/or App, or any other customer of Khel, including any Account not owned by You, to its source, or exploit the Website and/or App or Service or information made available or offered by or through the Website and/or App, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information, other than Your own information, as provided for by the Website and/or App;
• You shall not disrupt or interfere with the security of, or otherwise cause harm to, the Website and/or App, systems, resources, accounts, passwords, servers or networks connected to or accessible through the Website and/or App or any affiliated or linked sites;
• You agree not to make or publish any statements or comments that are negative, disparaging, or defamatory with respect to the Company, its brand names, or domain names, including "Khel" and "One M. Solution," nor to engage in any conduct that could harm or diminish the reputation or image of the Company or its Platform. You further agree not to tarnish or dilute any of the Company's trademarks, service marks, trade names, or associated goodwill. Additionally, you shall not take any action that imposes, or may impose, an unreasonable or disproportionately large burden on the infrastructure of the Khel Platform, the Company's systems or networks, or any systems or networks connected thereto.
• You shall not use the Website and/or App or any material or content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Khel or any other third parties.
• You shall not falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is submitted for uploading or is uploaded;
• You shall not attempt to gain unauthorized access to any portion or feature of the Website and/or App, any other systems or networks connected to the Website and/or App, to any Khel server, or to any of the Services offered on or through the Website and/or App, by hacking, password mining or any other illegitimate means;
• You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and fully sublicensable (through multiple tiers) license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display any User Content provided by you, and to exercise all copyright, publicity, database, and other rights therein, in any media now known or hereafter developed, violating your rights or any applicable law, limited to and for the purposes set out in these terms of Use and Privacy Policy.

We may monitor your messages and interactions on the Khel Platform. If you engage in any form of unauthorized advertising or solicitation, we reserve the right, in our sole discretion, to restrict the number of messages or emails a user may send to other users within any 24-hour period, or to take any other appropriate action.

You acknowledge and agree that we may disclose any information, including the identity of users providing content or materials on the Khel Platform, to the extent necessary to comply with applicable laws, regulations, legal processes, or governmental requests. This includes, without limitation, disclosures in connection with investigations of alleged unlawful or prohibited activities or in response to court orders or subpoenas. You further expressly authorize us to disclose your information to law enforcement authorities or other government officials, as we deem necessary or appropriate, in our sole discretion, in connection with the investigation, prevention, or resolution of suspected illegal activities, particularly where there is a risk of harm or personal injury.

You shall not host, display, upload, download, modify, publish, transmit, update or share any information which:

• belongs to another person or entity, and you do not have any right to;
• is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, slanderous, criminally inciting or invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever; or unlawfully threatening or unlawfully harassing including but not limited to any content which is in violation of the provisions of any relevant government regulations and laws;
• is misleading or misrepresentative in any way;
• is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred or physical harm of any kind against any group or individual;
• harasses or advocates harassment of another person
• involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";
• infringes upon or violates any third party's rights [including, but not limited to, intellectual property rights, rights of privacy (including, without limitation, unauthorized disclosure of a person's name, email address, physical address, or phone number) or rights of publicity];
• infringes any patent, trademark, copyright, or other intellectual property rights or third party's trade secrets, or rights of publicity or privacy, or shall not be fraudulent, or promote such unauthorized access.
• contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
• provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
• contains video, photographs, or images of another person (with a minor or an adult);
• engages in commercial activities and/or sales without our prior written consent, such as contests, sweepstakes, barter, advertising, and schemes, or the buying or selling of products related to the Khel. Throughout these Terms of Use, the Company's prior written consent means a communication coming from the Company's legal department/authorized representative, specifically in response to your request, and expressly addressing and allowing the activity or conduct for which you seek authorization;
• solicits gambling or engages in any gambling activity which is or could be construed as being illegal;
• interferes with another User's use and enjoyment of the Khel Platform or any third party User and enjoyment of similar services;
• impersonate another person, or deceives or misleads the addressee/Users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
• Submit to upload or distribute files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Website and/or App or another's computer;
• threatens the unity, integrity, defense, security or sovereignty of Nepal, friendly relations with foreign states, or public order or causes incitement to the commission of any criminal offence or prevents investigation of any offence or is insulting any other nation;
• creates liability for us or causes us to lose (in whole or in part) the services of our internet service provider or other suppliers
• any activity restricted or limited by the prevailing laws.

You shall not violate the Terms of Use, including but not limited to any applicable additional terms of the Website and/or App contained herein or elsewhere;

You shall at all times ensure full compliance with the applicable provisions as amended from time to time of (a) The Electronic Transaction Act 2063, (b) Privacy Act 2075, (c) all applicable domestic rules, laws, and regulations. You shall not engage in any transaction in an item or service that is prohibited by the provisions of any applicable law or regulations.

The Company reserves the right, but not the obligation, to monitor content posted on the Khel Platform. The Company may, in its sole discretion, remove, modify, or disable access to any content that it determines, or reasonably suspects, to be in violation of applicable law or the spirit or letter of these Terms and company policies. Notwithstanding the foregoing, you acknowledge and agree that you remain solely responsible for all content you post on the Khel, including any private communications. Such content does not necessarily reflect the views or opinions of the Company, and under no circumstances shall the Company be liable for any content posted by users or for any claims, damages, or losses arising from or in connection with the use of, or reliance upon, such content. You further represent and warrant that you hold all necessary rights, licenses, and permissions in respect of the content you submit, and that such content does not infringe any intellectual property or other rights of any third party, nor does it contain any defamatory, unlawful, or otherwise objectionable material.

Any violation of the Terms or other company policies or any authorized use by you shall terminate the permission/consent granted to you, and the Khel shall, in its sole discretion, suspend/terminate your registration, and should such a case arise, the decision of the Khel shall be final and binding.

Intellectual property

The Website and/or App, including its underlying processes and the selection, arrangement, and organization thereof, together with all components such as the software used to access the Services, text, graphics, user and visual interfaces, audio elements (if any), artwork, and computer code, are protected by applicable intellectual property rights, including but not limited to copyright, design rights, database rights, and trademarks. All such rights are either owned by us or duly licensed from third-party rights holders for use in connection with the Services, or otherwise utilized in accordance with applicable national and international intellectual property laws and regulations.

Any copying, reproduction, distribution, storage, framing, transmission, or commercial exploitation of any material forming part of, or made available through, the Services is strictly prohibited without our prior express written consent. Unless otherwise expressly stated, and subject to any third-party proprietary rights explicitly identified, Khel owns or is duly licensed to use all intellectual property rights in, to all text, programs, products, processes, technology, content, software, and other materials, along with the trademark "Khel," made available on the Website and/or App. This includes, without limitation, all rights, title, and interest in and to the compilation of content, software, copyrights and related rights, patents, utility models, designs, know-how, trade secrets, inventions (including those pending), goodwill, images, audio content, digital downloads, data compilations, source code, meta tags, databases, text, graphics, icons, logos, hyperlinks, and all other materials made available on or through the Khel Platform. The compilation of content, being the collection, arrangement, and assembly thereof, is the exclusive property of Khel. The trademark "Khel," together with all content on the Website and/or App, constitutes the sole property of Khel, unless otherwise expressly indicated. Any reproduction, in whole or in part, is strictly prohibited without the prior written consent of Khel.

All names, logos, and images displayed on the Platform are protected as trademarks and/or copyrights of Khel or the respective rights holders. No content may be reproduced, modified, or otherwise used in any form, whether by mechanical or electronic means, without the explicit written permission of the relevant owner and Khel. You acknowledge that all content, software, materials, and components available on the Website and/or App, including, without limitation, logos, graphics, videos, music, icons, and page headers, are the property of Khel and/or its affiliates, subsidiaries, or licensors, and are protected under applicable intellectual property laws.

You agree not to sell, license, lease, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, reverse engineer, create derivative works from, transfer, or otherwise exploit any content, information, or software obtained from Khel without prior written authorization. Any use of the content or materials for purposes not expressly permitted under these Terms of Use is strictly prohibited. You must not redistribute, republish any material from the Khel Platform, and except where it has been specifically and expressly made evident by the Company that certain content is specifically made available for redistribution, it may be redistributed only within your organization, and as intended by the Company.

Khel shall not be liable for any infringement of copyright, trademark, or other proprietary rights arising from content posted, transmitted, or advertised on the Platform by users. You further agree not to download, copy, or otherwise reproduce any material, content, or user-generated content (including content submitted by you) from the Website and/or App, except as expressly permitted

The User represents and undertakes that any content submitted to or posted on the Platform is original to the User, or that the User has obtained all necessary rights, licenses, consents, and approvals to use such content and to permit its upload and use by Khel.

By submitting or posting content on the Platform, the User irrevocably assigns and transfers to Khel all rights, title, and interest in and to such content, including all present and future intellectual property rights of any nature whatsoever, including copyrights, moral rights, and related rights, on a worldwide and perpetual basis. Such assignment shall be exclusive, royalty-free, transferable, and without any territorial, financial, or material limitation, and no compensation shall be payable by Khel in respect thereof. User shall not acquire, and hereby acknowledges that it does not obtain, any rights whatsoever in relation to Khel or its group companies, including their names, trademarks, designs, patents, patent applications, copyrights, or any other intellectual property rights, whether owned by Khel or its group companies or licensed from third parties and used on the Website and/or App.

Without prejudice to the foregoing, the User grants Khel the unrestricted right to use, reproduce, distribute, modify, adapt, create derivative works from, publish, display, communicate to the public, make available online, and otherwise exploit the content in any format or media, whether now known or hereafter developed, in connection with Khel's services and business, including for promotional and commercial purposes. The User acknowledges and agrees that Khel does not guarantee the confidentiality of any content submitted or posted on the Platform

Third Party content

We do not and cannot guarantee that other users will comply with the above rules or any other provisions of these Terms. You agree that you assume all risk of any loss, harm, or injury arising from any such non-compliance by other users.

You further acknowledge that any link that redirects you away from the Khel Platform, the destination website is not controlled by us and may be governed by its own terms of use and privacy policy. By accessing such third-party links, you agree that we shall not be responsible or liable for the content, policies, or practices of those external websites. We reserve the right, at our sole discretion, to disable links to or from third-party websites on the Khel Platform, without any obligation to do so. The Users are requested to verify the accuracy of all information on their own before undertaking any reliance on such information.

Breach of Terms

You acknowledge and agree that the Company, in its sole and absolute discretion, may, without obligation and without prior notice, suspend, restrict, deactivate, or terminate your account, block your email address or IP address, cancel or limit your access to or use of the Khel Platform (in whole or in part), or remove and discard any content made available on the Platform (collectively, "Termination"), for any reason whatsoever, including where the Company believes or has reasonable grounds to believe that you have violated any provision of these Terms or Company Policies. Upon the termination of your account, your right to participate in the Khel platform shall automatically terminate. You acknowledge and agree that your right to receive any Services hereunder is conditional upon your proper use of the Khel Platform, your adherence to the Terms of Use, the continuous activation of your Account, and your permitted participation in the Khel. Notice of termination will be sent to you via the email address provided by you during registration. The termination of your account will be deemed effective immediately upon delivery of such notification. The company retains the right to use the data collected from your use of Khel Platform for internal analysis and archival purposes. Once you have registered your account in Khel Platform, these terms and company policies will survive expiration or the termination of your account, and/or the Khel Platform itself.

You further agree to indemnify, defend, and hold harmless Company from and against any and all losses, damages, costs, liabilities, and expenses (including, without limitation, reasonable legal fees and any amounts paid in settlement of any claim or dispute) incurred or suffered by Company arising out of or in connection with your breach of these Terms, or any claim alleging that you have breached any provision of these Terms of Use.

Indemnification and Warranties

You agree to release, defend, indemnify, and hold harmless the company, its directors, shareholders, officers, and representatives from and against any and all costs, damages, liabilities, or other consequences arising out of or in connection with the actions or conduct of users of the Khel Platform, and you expressly waive any claims you may have in this regard under applicable laws. Without prejudice to the foregoing, you acknowledge and agree that the limitations of liability and disclaimers set out in these Terms shall extend to and benefit Company's officers, employees, agents, subsidiaries, successors, assigns, and subcontractors. Khel hereby expressly disclaims, and you hereby expressly release Khel from, any and all liability whatsoever for any controversies, claims, suits, injuries, losses, harms, or damages arising out of or in connection with the Services or your interactions or dealings with other Users, including any acts or omissions of Users, whether occurring online or offline. All use of the Services is at your sole and exclusive risk.

While Company makes reasonable efforts to maintain the integrity of the Khel and use of the platform, it does not control and assumes no responsibility for information made available by User on the Khel Platform. Such information may be inaccurate, misleading, offensive, or otherwise objectionable. You are advised to exercise appropriate caution and judgment and to engage in safe and prudent practices when interacting with other users on the Platform.

You may report any offensive or objectionable content in the manner prescribed herein. Khel reserves the right, at its sole discretion, to remove or disable access to any content uploaded by any user, for any reason whatsoever. For the avoidance of doubt, all content posted on the Platform, including the views expressed therein, shall remain the sole responsibility of the user who submitted such content. Khel expressly disclaims all liability in this regard, and the user shall be solely responsible for any infringement of third-party rights arising from such content.

You further agree that Khel may, at any time and at its sole discretion, alter, modify, suspend, or discontinue, in whole or in part, the Website and/or App, introduce or revise fees for use of the Platform, or provide access to features, services, or opportunities to some or all users, without prior notice and without incurring any liability.

Khel, including its agents, affiliates, and employees, makes no representations or warranties of any kind regarding the accuracy, reliability, completeness, or timeliness of any content, information, software, text, graphics, links, or communications made available through the Website and/or App, nor does it warrant that the operation of the Website and/or App will be uninterrupted or error-free. The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Khel further does not assume responsibility or liability for the privacy or security of email addresses, registration or identification information, storage space, communications, confidential or trade secret information, or any other user content stored on its systems, transmitted over networks accessed through or via Khel, or otherwise associated with your use of the Services.

Our Services provide a platform, together with certain tools and resources, to facilitate connections between Users and various service providers. Khel does not employ, recommend, or endorse any User and has no control over the acts or omissions of any User.
